Endava, britanska tvrtka specijalizirana za pružanje softverskih rješenja za digitalnu transformaciju preuzela je drugog najvećeg proizvođača mobilnih aplikacija u Hrvatskoj i tvrtku s jakim fokusom na rješenja digitalnog marketinga, zagrebački Five.

Hrvatska tvrtka, koja je u Sudskom registru upisana kao Pet minuta, prodana je Endavi za 40 milijuna dolara, odnosno četvrt milijarde kuna. Partneri u Fiveu, Viktor Marohnić, Luka Abrus i Sven Marušić, ostat će nakon preuzimanja na prijašnjim funkcijama, a Britanci, koji su bili jedan od desetak zainteresiranih kupaca, isplatit će im dogovoren iznos dijelom u novcu, a ostatak kroz razmjenu dionica i buduću nagradu za nastavak uspješnog razvoja Fivea.

Ova akvizicija drugi je najveći exit na domaćem tržištu, nakon što je lani švedska Stillfront grupa preuzela Nanobit za gotovo milijardu kuna. Exit Fivea ujedno je veći od dosadašnjih akvizicija u IT sektoru u Hrvatskoj, gdje je primjerice HT kupio Iskon za 100 milijuna kuna, Combis za oko 120 milijuna kuna i ABB kupio Exor za 200 milijuna kuna.

Viktor Marohnić, suosnivač i član uprave Fivea kaže da je oduševljen što ih je preuzela Endava.

"Rano smo u razgovorima vidjeli da između naših kompanija postoji dobra usklađenost korporativnih kultura i bili smo vrlo uzbuđeni zbog interesa koji je Endava pokazala za naše ljude i naše temeljene usluge, uključujući ponudu strateškog razvoja proizvoda, dizajna i growth marketinga", kaže Marohnić.

Dodaje da će se Fiveu, kao dijelu veće poslovne platforme, i kroz udruživanje snaga s Endavom, otvoriti još više prilika na tržištu. Five pruža usluge klijentima mahom u SAD-u. Hrvatska tvrtka zapošljava 157 stručnjaka, a ima urede u Brooklynu, New Yorku i Zagrebu.

Endava se promovira kao vodeći pružatelj tehnoloških usluga nove generacije, odnosno kao ključan partner za digitalnu transformaciju poslovanja. Cilj Endave je pomoći tvrtkama pretvaranju u digitalna poduzeća. Klijenti ove britanske tvrtke, koja ima gotovo 7500 zaposlenika i čije su dionice izlistane na njujorškoj burzi, su među inima, tvrtke iz automobilskog sektora, telekomunikacija i medija, zatim industrije plaćanja, maloprodaje, mobilnosti i zdravstvene zaštite.

Tvrtka ima glavne urede u Sjevernoj Americi, zapadnoj Europi i Australiji, a proizvodne i razvojne centre, osim po novome u Hrvatskoj, i u Sloveniji, BiH, Srbiji, Rumunjskoj, Moldaviji, Bugarskoj, Sjevernoj Makedoniji, Argentini, Urugvaju, Venezueli i Kolumbiji.

John Cotterell, izvršni direktor Endave ističe da je vrlo zadovoljan što se Five pridružio njihovom poduzeću.

"Oni su divan tim koji u Endavu unosi nove vještine, posebno u područje strategije proizvoda i growth marketinga, za koji vjerujemo da će mnogi naši klijenti biti itekako zainteresirani te su vodeća njujorška agencija s razvojnim centrima u Hrvatskoj, koja je usklađena s našim poslovnim modelom i dodatno jača naš trag u jadranskoj regiji", kaže Cotterell.

Fiveu ovo nije prvi susret s akvizicijama i investicijama. Tvrtka Pet minuta osnovana je 2007. s ciljem razvoja mobilnih aplikacija za sve platforme. Tri godine kasnije u nju je, zato što je razvila vlastiti proizvod Shoutem, 1,2 milijuna dlara uložio slovenski VC fond RSG Capital. Već je tada Pet minuta radio prihod veći od milijun eura od čega je 95 posto dolazilo iz izvoza.

Godine 2014. tvrtka Pet minuta dio je svog poslovanja prodala američkom RealNetworksu. Bio je to njihov najveći i dugogodišnji outsourcing partner. RealNetworks je želio taj segment razvoja staviti u okrilje vlastitog poslovanja pa je preuzao 20-tak zaposlenika Pet minuta. U tvrtki je tad ostalo njih 45.

Tri godine kasnije, 2017., Five je preuzeo domaću agenciju za razvoj digitalnih rješenja, Revoluciju, iz koje je inače nastao i startup Amodo. Kako je Amodo pri toj akziviciji ostao samostalan i nije bio uključen u prodaju, tako ni Fiveov Shoutem nije uključen u prodaju Endavi. To objašnjava i zašto Endava navodi da će preuzeti 175 zaposlenika kad Five ukupno kao grupa do sad je brojao oko 220 stručnjaka.

Five je lani proglašen jednom od tri najbolje agencija za proizvodnju mobilnih aplikacija u New Yorku. Tvrtka radi za klijente kao što su Rosetta Stone, Bullhorn Inc. i Napster. Posljednjih je nekoliko godina redovito bio među tvrtkama koje su bile među najbrže rastućima u Hrvatskoj, regiji i Europi. U tvrtki navode da su lani, unatoč očekivanjima da će im se zbog lockdowna promet prepoloviti, on je skočio i godinu su završili s više od 100 milijuna kuna prihoda i u plusu. Nije stoga neobično što je Five prodan po multipli većoj od 10, odnosno iznad prosjeka za svoju industriju.

U Fiveu navode da će im Endava riješiti ključan problem koji su imali u daljnjem širenju na američkom i globalnom tržištu, a to je veličina. Five želi, naime, postati jedna od najvećih agencija za razvoj digitalnih proizvoda na svijetu.

"Očekujemo da ćemo na akviziciji Fivea profitirati već u prvoj godini", zaključuje Cotterell.

Endava, britanska tvrtka specijalizirana za pružanje softverskih rješenja za digitalnu transformaciju preuzela je drugog najvećeg proizvođača mobilnih aplikacija u Hrvatskoj i tvrtku s jakim fokusom na rješenja digitalnog marketinga, zagrebački Five.

Hrvatska tvrtka, koja je u Sudskom registru upisana kao Pet minuta, prodana je Endavi za 40 milijuna dolara, odnosno četvrt milijarde kuna. Partneri u Fiveu, Viktor Marohnić, Luka Abrus i Sven Marušić, ostat će nakon preuzimanja na prijašnjim funkcijama, a Britanci, koji su bili jedan od desetak zainteresiranih kupaca, isplatit će im dogovoren iznos dijelom u novcu, a ostatak kroz razmjenu dionica i buduću nagradu za nastavak uspješnog razvoja Fivea.

Ova akvizicija drugi je najveći exit na domaćem tržištu, nakon što je lani švedska Stillfront grupa preuzela Nanobit za gotovo milijardu kuna. Exit Fivea ujedno je veći od dosadašnjih akvizicija u IT sektoru u Hrvatskoj, gdje je primjerice HT kupio Iskon za 100 milijuna kuna, Combis za oko 120 milijuna kuna i ABB kupio Exor za 200 milijuna kuna.

Viktor Marohnić, suosnivač i član uprave Fivea kaže da je oduševljen što ih je preuzela Endava.

"Rano smo u razgovorima vidjeli da između naših kompanija postoji dobra usklađenost korporativnih kultura i bili smo vrlo uzbuđeni zbog interesa koji je Endava pokazala za naše ljude i naše temeljene usluge, uključujući ponudu strateškog razvoja proizvoda, dizajna i growth marketinga", kaže Marohnić.

Dodaje da će se Fiveu, kao dijelu veće poslovne platforme, i kroz udruživanje snaga s Endavom, otvoriti još više prilika na tržištu. Five pruža usluge klijentima mahom u SAD-u. Hrvatska tvrtka zapošljava 157 stručnjaka, a ima urede u Brooklynu, New Yorku i Zagrebu.

Endava se promovira kao vodeći pružatelj tehnoloških usluga nove generacije, odnosno kao ključan partner za digitalnu transformaciju poslovanja. Cilj Endave je pomoći tvrtkama pretvaranju u digitalna poduzeća. Klijenti ove britanske tvrtke, koja ima gotovo 7500 zaposlenika i čije su dionice izlistane na njujorškoj burzi, su među inima, tvrtke iz automobilskog sektora, telekomunikacija i medija, zatim industrije plaćanja, maloprodaje, mobilnosti i zdravstvene zaštite.

Tvrtka ima glavne urede u Sjevernoj Americi, zapadnoj Europi i Australiji, a proizvodne i razvojne centre, osim po novome u Hrvatskoj, i u Sloveniji, BiH, Srbiji, Rumunjskoj, Moldaviji, Bugarskoj, Sjevernoj Makedoniji, Argentini, Urugvaju, Venezueli i Kolumbiji.

John Cotterell, izvršni direktor Endave ističe da je vrlo zadovoljan što se Five pridružio njihovom poduzeću.

"Oni su divan tim koji u Endavu unosi nove vještine, posebno u područje strategije proizvoda i growth marketinga, za koji vjerujemo da će mnogi naši klijenti biti itekako zainteresirani te su vodeća njujorška agencija s razvojnim centrima u Hrvatskoj, koja je usklađena s našim poslovnim modelom i dodatno jača naš trag u jadranskoj regiji", kaže Cotterell.

Fiveu ovo nije prvi susret s akvizicijama i investicijama. Tvrtka Pet minuta osnovana je 2007. s ciljem razvoja mobilnih aplikacija za sve platforme. Tri godine kasnije u nju je, zato što je razvila vlastiti proizvod Shoutem, 1,2 milijuna dlara uložio slovenski VC fond RSG Capital. Već je tada Pet minuta radio prihod veći od milijun eura od čega je 95 posto dolazilo iz izvoza.

Godine 2014. tvrtka Pet minuta dio je svog poslovanja prodala američkom RealNetworksu. Bio je to njihov najveći i dugogodišnji outsourcing partner. RealNetworks je želio taj segment razvoja staviti u okrilje vlastitog poslovanja pa je preuzao 20-tak zaposlenika Pet minuta. U tvrtki je tad ostalo njih 45.

Tri godine kasnije, 2017., Five je preuzeo domaću agenciju za razvoj digitalnih rješenja, Revoluciju, iz koje je inače nastao i startup Amodo. Kako je Amodo pri toj akziviciji ostao samostalan i nije bio uključen u prodaju, tako ni Fiveov Shoutem nije uključen u prodaju Endavi. To objašnjava i zašto Endava navodi da će preuzeti 175 zaposlenika kad Five ukupno kao grupa do sad je brojao oko 220 stručnjaka.

Five je lani proglašen jednom od tri najbolje agencija za proizvodnju mobilnih aplikacija u New Yorku. Tvrtka radi za klijente kao što su Rosetta Stone, Bullhorn Inc. i Napster. Posljednjih je nekoliko godina redovito bio među tvrtkama koje su bile među najbrže rastućima u Hrvatskoj, regiji i Europi. U tvrtki navode da su lani, unatoč očekivanjima da će im se zbog lockdowna promet prepoloviti, on je skočio i godinu su završili s više od 100 milijuna kuna prihoda i u plusu. Nije stoga neobično što je Five prodan po multipli većoj od 10, odnosno iznad prosjeka za svoju industriju.

U Fiveu navode da će im Endava riješiti ključan problem koji su imali u daljnjem širenju na američkom i globalnom tržištu, a to je veličina. Five želi, naime, postati jedna od najvećih agencija za razvoj digitalnih proizvoda na svijetu.

"Očekujemo da ćemo na akviziciji Fivea profitirati već u prvoj godini", zaključuje Cotterell.
