Raskomadaj pa prodaj.

Tako bi se ukratko mogla opisati poslovna politika Fortenove nakon što su preuzeli upravljanje nekada najvećom hrvatskom kompanijom. Dugovi su golemi, a uprava Fortenove ih pokriva prodajom kompanija. Ledo i ostale komponente Poslovne grupe zamrznute hrane 2021. su prodane tvrtki Nomad Foods za 615 milijuna eura.

Sada je po svemu sudeći na red došla Poslovna grupa poljoprivreda. Ovih dana iz Fortenove su objavili da su započeli proces ispitivanja interesa za potencijalnu prodaju poslovnog područja poljoprivreda. Točnije PIK Vinkovaca, Vupika i Belja. Proces je krenuo, navode iz tvrtke, slanjem informativnog materijala na adrese više moguće zainteresiranih kupaca. A proces će se nastaviti prikupljanjem neobvezujućih ponuda.

Pod pritiskom dugova

Neslužbene informacije govore da je zainteresiranih puno: od Podravke i osječkog Žita Marka Pipunića do srpskog Delta Holdinga gdje se čulo kako moguću prodaju poljoprivrednih kompanija Fortenova grupe u toj grupaciji smatraju “zanimljivom prilikom”.

Cijena? Prava “sitnica”. Vrijednost Fortenovinog agro biznisa procjenjuje se na - pola milijarde eura.

- Ovo je očekivani potez novog kruga dioničara Fortenove. Grupacija je još uvijek jako zadužena. Fortenova je pod pritiskom dugova, a nije do kraja restrukturirana, tako da je dug još uvijek veliko opterećenje, i oni su očito donijeli stratešku odluku da se rješavaju onih djelatnosti na koje se više ne žele fokusirati – ističe u izjavi za Slobodnu Dalmaciju ekonomski analitičar dr. Damir Novotny.

Prema njegovoj procjeni, u Fortenovi se žele fokusirati na trgovinu, a ostale manje profitabilne grane koncerna prodati.

U kojem grmu onda leži “zec”?

- Fortenova prodaje poduzeća koja imaju koncesijska prava na tridesetak tisuća hektara državnog zemljišta. To nije tako velika površina, no pitanje je delikatno jer ta koncesijska prava sa sobom nose pravo na korištenje sredstava iz europskih fondova, odnosno plaćanja po hektaru zemljišta – naglašava Novotny.

Pritom podsjeća na presedan prodaje dvije poljoprivredne zadruge u istočnoj Slavoniji poduzetniku iz Srbije Petru Matijeviću. Te su poljoprivredne zadruge imale u vlasništvu nekoliko tisuća hektara poljoprivrednog zemljišta u Starim Jankovcima i u Negoslavcima.

- Očekivalo se da će poduzetnik Matijević, koji je inače porijeklom iz Hrvatske i koji je otišao u Srbiju prije rata, investirati u mesoprerađivačku djelatnost, no to se nije dogodilo. Očito je njegov glavni motiv bio korištenje tog zemljišta za korištenje prava za potpore iz EU fondova – pojašnjava ovaj analitičar.

Potrebna su investiranja

Od takvog tipa preuzimanja Belja, Pik Vinkovaca i Vupika, kod kojega je osnovni motiv dobivanje novca iz potpora bez velike muke ni lokalna zajednica ni Republika Hrvatska, uvjeren je on, ne bi imale nikakve koristi.

- Drugi tip potencijalnih preuzimatelja su politički motivirani poduzetnici iz, recimo, Mađarske. Poznato je da Orbanova Vlada želi proširiti svoj politički utjecaj na Baranju. Veliki mađarski poljoprivredni tajkun Sándor Csányi koji kontrolira nekoliko milijuna hektara u Mađarskoj je blizak Orbanu, a i predsjednik je Nadzornog odbora MOL-a i OTP banke.

Osobno me ne bi toliko zabrinjavali poduzetnici iz Srbije poput Matijevića, jer su oni motivirani u prvom redu profitom, koliko oni koji se vode nekim političkim motivima – mišljenja je Novotny.

Tvrtkama koje idu u prodaju najbolje bi, prema njegovim riječima, odgovarali investitori koji su već investirali i u primarnu poljoprivrednu proizvodnju, i u prerađivačku industriju.

- U tim dijelovima Hrvatske važno je da se ti poljoprivredni proizvodi i prerade. To je onda pun pogodak. Paradoks je da u Baranji ne postoji nijedan mlin, pa se pšenica vozi do Zagreba ili još gore do Italije da se melje – navodi Novotny.

Vlada bi stoga trebala u čitavoj priči pokušati strateški usmjeriti upravu Fortenovu da vrednuju investitore koji bi razvijali i prerađivačku industriju. Ne samo poljoprivredu.

Problem za Podravku

A bi li Podravka bila dobro rješenje?

- Podravka se davno riješila svoje poljoprivrede, ne znam zašto bi se ponovno u nju vraćala, osim ako to nije politički motivirano odnosno pod pritiskom Vlade. Pogrešna je predodžba da je Podravka poljoprivredno-prerađivačko prehrambena industrija, nego više kemijska industrija. Dio je farmaceutska industrija, dio je proizvodnja Vegete.

Ako bi išla u tom smjeru to bi bio zaokret u osnovnom poslovnom modelu i kao takvoga ga onda i treba deklarirati. A ne da se to radi zbog nekog političkog pritiska – zaključuje Novotny.

Tako bi se ukratko mogla opisati poslovna politika Fortenove nakon što su preuzeli upravljanje nekada najvećom hrvatskom kompanijom. Dugovi su golemi, a uprava Fortenove ih pokriva prodajom kompanija. Ledo i ostale komponente Poslovne grupe zamrznute hrane 2021. su prodane tvrtki Nomad Foods za 615 milijuna eura.

Sada je po svemu sudeći na red došla Poslovna grupa poljoprivreda. Ovih dana iz Fortenove su objavili da su započeli proces ispitivanja interesa za potencijalnu prodaju poslovnog područja poljoprivreda. Točnije PIK Vinkovaca, Vupika i Belja. Proces je krenuo, navode iz tvrtke, slanjem informativnog materijala na adrese više moguće zainteresiranih kupaca. A proces će se nastaviti prikupljanjem neobvezujućih ponuda.

Pod pritiskom dugova

Neslužbene informacije govore da je zainteresiranih puno: od Podravke i osječkog Žita Marka Pipunića do srpskog Delta Holdinga gdje se čulo kako moguću prodaju poljoprivrednih kompanija Fortenova grupe u toj grupaciji smatraju “zanimljivom prilikom”.

Cijena? Prava “sitnica”. Vrijednost Fortenovinog agro biznisa procjenjuje se na - pola milijarde eura.

- Ovo je očekivani potez novog kruga dioničara Fortenove. Grupacija je još uvijek jako zadužena. Fortenova je pod pritiskom dugova, a nije do kraja restrukturirana, tako da je dug još uvijek veliko opterećenje, i oni su očito donijeli stratešku odluku da se rješavaju onih djelatnosti na koje se više ne žele fokusirati – ističe u izjavi za Slobodnu Dalmaciju ekonomski analitičar dr. Damir Novotny.

Prema njegovoj procjeni, u Fortenovi se žele fokusirati na trgovinu, a ostale manje profitabilne grane koncerna prodati.

U kojem grmu onda leži “zec”?

- Fortenova prodaje poduzeća koja imaju koncesijska prava na tridesetak tisuća hektara državnog zemljišta. To nije tako velika površina, no pitanje je delikatno jer ta koncesijska prava sa sobom nose pravo na korištenje sredstava iz europskih fondova, odnosno plaćanja po hektaru zemljišta – naglašava Novotny.

Pritom podsjeća na presedan prodaje dvije poljoprivredne zadruge u istočnoj Slavoniji poduzetniku iz Srbije Petru Matijeviću. Te su poljoprivredne zadruge imale u vlasništvu nekoliko tisuća hektara poljoprivrednog zemljišta u Starim Jankovcima i u Negoslavcima.

- Očekivalo se da će poduzetnik Matijević, koji je inače porijeklom iz Hrvatske i koji je otišao u Srbiju prije rata, investirati u mesoprerađivačku djelatnost, no to se nije dogodilo. Očito je njegov glavni motiv bio korištenje tog zemljišta za korištenje prava za potpore iz EU fondova – pojašnjava ovaj analitičar.

Potrebna su investiranja

Od takvog tipa preuzimanja Belja, Pik Vinkovaca i Vupika, kod kojega je osnovni motiv dobivanje novca iz potpora bez velike muke ni lokalna zajednica ni Republika Hrvatska, uvjeren je on, ne bi imale nikakve koristi.

- Drugi tip potencijalnih preuzimatelja su politički motivirani poduzetnici iz, recimo, Mađarske. Poznato je da Orbanova Vlada želi proširiti svoj politički utjecaj na Baranju. Veliki mađarski poljoprivredni tajkun Sándor Csányi koji kontrolira nekoliko milijuna hektara u Mađarskoj je blizak Orbanu, a i predsjednik je Nadzornog odbora MOL-a i OTP banke.

Osobno me ne bi toliko zabrinjavali poduzetnici iz Srbije poput Matijevića, jer su oni motivirani u prvom redu profitom, koliko oni koji se vode nekim političkim motivima – mišljenja je Novotny.

Tvrtkama koje idu u prodaju najbolje bi, prema njegovim riječima, odgovarali investitori koji su već investirali i u primarnu poljoprivrednu proizvodnju, i u prerađivačku industriju.

- U tim dijelovima Hrvatske važno je da se ti poljoprivredni proizvodi i prerade. To je onda pun pogodak. Paradoks je da u Baranji ne postoji nijedan mlin, pa se pšenica vozi do Zagreba ili još gore do Italije da se melje – navodi Novotny.

Vlada bi stoga trebala u čitavoj priči pokušati strateški usmjeriti upravu Fortenovu da vrednuju investitore koji bi razvijali i prerađivačku industriju. Ne samo poljoprivredu.

Problem za Podravku

A bi li Podravka bila dobro rješenje?

- Podravka se davno riješila svoje poljoprivrede, ne znam zašto bi se ponovno u nju vraćala, osim ako to nije politički motivirano odnosno pod pritiskom Vlade. Pogrešna je predodžba da je Podravka poljoprivredno-prerađivačko prehrambena industrija, nego više kemijska industrija. Dio je farmaceutska industrija, dio je proizvodnja Vegete.

Ako bi išla u tom smjeru to bi bio zaokret u osnovnom poslovnom modelu i kao takvoga ga onda i treba deklarirati. A ne da se to radi zbog nekog političkog pritiska – zaključuje Novotny.
